1. Introduction
1.1. These General Terms and Conditions ("Terms") apply to all offers, use, collaborations, services, products and agreements relating to the Josie chatbot and platform, owned and operated by MASJIEN CommV and Ardor BV (trading under “PIVOT Law”) (hereinafter referred to collectively as “we”, “our” or “the Providers”).
1.2. Josie is an AI-powered chatbot developed to assist fashion companies with their sustainability claims, offering guidance on how to communicate such claims in a legally compliant, transparent and effective manner (hereafter “Josie”). Josie operates through a digital platform and interface managed by the Providers, which includes an Academy with educational tutorials and human consultancy services (hereafter the “Josie Services”).
1.3. When subscribing to Josie, you (the “User”) purchase access to the Josie chatbot and the Josie Services and thereby agree to be bound by these Terms.
1.4. Deviations of these Terms can only be accepted if explicitly agreed upon in writing between the Providers and the User and are to be interpreted restrictively. The (purchase) terms and conditions of the User, if any, are explicitly excluded.
2. Scope of use and nature of the information provided
2.1. Josie is offered as a practical, informative tool to help Users assess and refine sustainability-related communication. The use of Josie does not replace legal advice and does not constitute an attorney-client relationship.
2.2. The Providers reserve the right to adjust, update, or discontinue Josie at any time without prior notice.
2.3. All information and responses generated by Josie are based on AI outputs trained on relevant regulation, soft law instruments and expert knowledge. However, Josie’s responses are:
i) Provided for general guidance only;
ii) Not tailored legal advice;
iii) Not binding or enforceable recommendations.
If the User is uncertain about a specific response, they are advised to consult an expert for personalised advice.
2.4. We strive to continuously improve Josie’s accuracy and relevance. If you believe a response is incorrect, outdated, or misleading, we invite you to notify us via lets@askjosie.ai. Your feedback helps us maintain the quality and reliability of Josie’s guidance.
2.5. While we aim for high availability, Josie may occasionally be unavailable due to maintenance, updates, or technical issues. We are not liable for any interruption of access.
3. The Josie Services
3.1. The Josie Services include online webinars (the “Josie Academy”) and one-on-one guidance, audits, or tailored legal and strategic advice relating to sustainability communication and green claims (“Josie the Humans”).
3.2. All content and materials provided in the context of Josie Academy are for informational and training purposes only, and do not constitute legal advice. For bespoke legal or strategic support, Users are invited to book a consultation with one of the Providers.
3.3. Separate terms, conditions and fees may apply to Josie the Humans, which will be communicated in advance. Any such services are subject to the professional conditions and limitations applicable to the Providers, as made available upon request or in the specific engagement terms.
4. User Responsibilities
The User agrees to:
i) Use Josie for lawful purposes only;
ii) Not use Josie to input sensitive personal data or confidential company information;
iii) Attempt to gain unauthorised access to Josie, the server on which Josie is stored or any server, computer or database connected to Josie,
iv) Not use Josie to (a) train other AI systems, (b) reproduce large portions of Josie’s output for commercial redistribution, or (c) scrape or extract data beyond personal use;
v) Accept that Josie’s guidance is not exhaustive and should be used as an aid—not a substitute—for sound legal and strategic decision-making.
We reserve the right to restrict or revoke access in the event of misuse.
5. Subcontractors
We reserve the right to work with subcontractors for the performance of our (consultancy) services and the maintenance of Josie.
6. Intellectual Property
We retain all ownership, rights and interests in and to the intellectual property rights associated with Josie and the Josie Services, including all content, structure, training data, AI functionalities, source files, modifications, materials, know-how, proprietary information, interfaces and preparatory materials. Users may not copy, reproduce, distribute or create derivative works from any part of Josie without express written permission.
7. Privacy
Josie may process minimal data related to usage patterns to improve functionality. Any personal data collected will be handled in accordance with applicable data protection laws, including the General Data Protection Regulation (GDPR). 8. Limitations of Liability
8.1. Josie is a tool based on artificial intelligence and provided "as is". The Providers do not guarantee the accuracy or completeness of the output and disclaim all liability for:
i) Decisions made or actions taken by the User based on Josie’s responses;
ii) Any indirect, consequential, or reputational damage;
iii) Technical issues or temporary unavailability of the chatbot.
8.2. The Providers can only be held liable for damage resulting from (i) deliberate or serious error on the part of Josie and/or its agents, or (ii) errors affecting the life or physical integrity of persons.
8.3. The User waives all extra-contractual liability claims vis-à-vis the Providers as well as towards auxiliary persons of the Providers for damage caused by the non-fulfilment of a contractual obligation. Auxiliary persons are defined as any natural or legal person entrusted by the Providers with the full or partial implementation of a contractual commitment entered into by the Providers (such as subcontractors, employees, directors). This clause is without prejudice to provisions of public order or mandatory law. Auxiliary persons may invoke the clauses of this article as third-party beneficiaries.
8.4. In any event, the full liability of the Providers shall be limited to the total amount to the User (excl. VAT). This limitation applies regardless of whether the liability is based on breach of contract, tort (including negligence), strict liability, breach of warranties or any other legal theory. Claims arising from minor problems or temporary unavailability of Josie do not constitute grounds for compensation or set-off against fees due.
8.5. These restrictions also apply to all claims allegedly directed against shareholders, directors and/or independent employees of the Providers.
8.6. Any claim for compensation, on whatever grounds and whether in court or not, must be made within three (3) months of the relevant event on the basis of which the User believes that the Providers are liable for damages suffered.
9. Fees and Billing
9.1. If Josie is made available under a paid subscription model or licensing agreement, the applicable pricing and billing conditions will be communicated separately and shall form an integral part of the agreement with the User.
9.2. In case of non-payment, the Providers reserve the right to suspend access to Josie.
10. Modifications to These Terms
The Providers reserve the right to update or modify these Terms at any time. Substantial changes will be announced in advance. Next, Users will have 30 days to cancel their subscription if they do not agree to the modified Terms. The continued use of Josie after the update implies acceptance of the revised Terms.
11. Applicable Law and Jurisdiction
These Terms and any use of Josie are governed by Belgian law. Any disputes shall fall under the exclusive jurisdiction of the courts of Antwerp.
